1. TERMS AND CONDITIONS OF USE

1.1 Welcome to John Norman's Chronicles of Gor ("Chronicles of Gor"). If you choose to use the website ("Site") and services of Chronicles of Gor (the "Services") you agree to abide by all of these terms and conditions ("Terms"). Please read them carefully. In addition, when you use any current or future Services (e.g., the Forums) you will also be subject to any additional guidelines and conditions that may be applicable specifically to any such Service. If these Terms are inconsistent with such additional guidelines and conditions, such additional guidelines and conditions will control. By clicking the "I agree to the above" button upon registering you have agreed to be bound by these Terms and any modifications made to them in accordance with Section 1.2 below.

1.2 Chronicles of Gor may change, add or remove portions of these Terms at any time, but if it does so, it will post such changes on the Site, or send them to you via email, if you so choose. It is your responsibility to review the Terms prior to each use of the Site and by continuing to use this Site, you agree to any changes.

1.3 IF ANY OF THESE TERMS OR ANY FUTURE CHANGES ARE UNACCEPTABLE TO YOU, YOU MAY CANCEL YOUR MEMBERSHIP BY SENDING AN EMAIL TO: webmaster@gorchronicles.com. YOUR CONTINUED USE OF THE SERVICES NOW, OR FOLLOWING THE POSTING OF NOTICE OF ANY CHANGES IN THESE TERMS, WILL CONSTITUTE ACCEPTANCE BY YOU OF SUCH CHANGES.


2. CHRONICLES OF GOR CONTENT AND MEMBER SUBMISSIONS

2.1 The contents of the Site are intended for your personal, non-commercial use. All materials published on the Site (including, but not limited to articles, photographs, images, illustrations, audio clips and video clips, also known as the "Content") are protected by copyright, and owned or controlled by Chronicles of Gor, its licensors or the party credited as the rights-holder of the Content. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Services.

2.2 The Site and its Contents are protected by copyright pursuant to U.S. and international copyright laws. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in the Section 2.3 of these Terms), create new works from, distribute, perform, display, or in any way exploit, any of the Content or the Services (including software) as a whole or in part.

2.3(a) Chronicles of Gor's podcasting service (the "Podcast Service") consists of recorded interviews and information files (the "Podcast Content") that may be downloaded to your computer and/or transferred to your portable MP3 player, provided, that you maintain all copyright and other notices contained therein. Copying or storing of any Content for other than personal use is expressly prohibited without prior written permission from Chronicles of Gor or the copyright holder identified in the copyright notice contained in the specific Content or the author, as the case may be.

2.3(b) The Podcast Service is available only for private, non-commercial use. Any other uses, including without limitation the incorporation of advertising into or the placement of advertising associated with or targeted towards the Podcast Content, are strictly prohibited. You may not edit or modify or redistribute the Podcast Content or links supplied by Chronicles of Gor.

2.3(c) Chronicles of Gor’s Podcast Service and the Podcast Content are protected by U.S. and international copyright laws. Unless otherwise specified in any Podcast Content, Chronicles of Gor owns all rights including copyright to the Podcast Content, and to the logos and trademarks used in connection with the Podcast Service.

2.3 (d) Chronicles of Gor reserves the right to discontinue providing any or all of the Podcast Service at any time and to require you to cease displaying, distributing or otherwise using any or all of the Podcast Content for any reason including, without limitation, your violation of any provision of these Terms.

2.3(e) Chronicles of Gor assumes no liability for any of your activities in connection with the Podcast Content and/or the Podcast Service or for your use of the Podcast Content and/or the Podcast Service in connection with your computer or MP3 player or any unauthorized use.


3. PRIVACY

Chronicles of Gor reserves the right to collect and disclose information about your usage and demographics, provided that it will not reveal your personal identity in connection with the disclosure of such information. Advertisers and/or Licensees on the Site may collect and share information about you if you access their sites through the links provided on the Site. Please review our Privacy Notice, which also governs your visits to Chronicles of Gor, to understand our practices.


4. FORUMS, DISCUSSIONS, AND MEMBERS’ ARTICLES AND ARTWORK

4.1 You may post comments and other Content on the message boards (the "Forums") and the chat room ("Chat Room"), and upload or otherwise publish articles and artwork in the "Articles" or "Gallery" sections of the Site, and submit suggestions, ideas, comments, questions, or other information, so long as the Content is not libelous, defamatory, obscene, pornographic, threatening, abusive, invasive of privacy, plagiarizing, infringing of the intellectual property rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights, or otherwise illegal material, and does not consist of or contain software viruses, chain letters, mass mailings, or any form of "spam," or interfere with or disrupt the Services, computer servers or boards accessible through the Site.

4.2 Be courteous. You agree that you will not threaten, harass, stalk or verbally abuse other Members, use defamatory language, or deliberately disrupt discussions with repetitive, excessively numerous, meaningless or repeatedly off-topic messages or "spam."

4.3 Debate, but don't attack. In a community characterized by strong opinions and preferences, people inevitably disagree. Chronicles of Gor encourages active discussions and welcomes heated debate in our Forums and Chat Room, but personal attacks on other Members, the Gor series or on John Norman are a direct violation of these Terms and are grounds for immediate and permanent suspension of access to all or any part of the Services. This site is for the fans of John Norman's Chronicles of Gor series and Members do not need to consider themselves to be "Gorean" in order to participate.

4.4 Except as permitted under Sections 7.1 and 4.10, the Forums shall be used only in a non-commercial manner. You shall not, without the express prior approval of Chronicles of Gor, distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services.

4.5 You are solely responsible for the Content of your messages. However, while Chronicles of Gor does not and cannot review every message posted by you on the Forums and in the Chat Room and is not responsible for the Content of these messages, Chronicles of Gor reserves the right to delete, move, or edit messages that it, in its sole discretion, deems libelous, defamatory, obscene, pornographic, threatening, abusive, invasive of privacy, plagiarizing, in violation of copyright or trademark laws or these Terms, or otherwise unacceptable.

4.6 You acknowledge that any Content you post, upload or otherwise publish to the Services (e.g., articles or posts) may be edited, removed, modified, published, transmitted, and displayed by Chronicles of Gor and you waive any moral rights you may have in having the material altered or changed in a manner not agreeable to you. Chronicles of Gor claims no ownership or control over any Content submitted, posted or uploaded by you on or through the Services. You or a third party licensor, as appropriate, retain all patent, trademark and copyright to any Content you submit, post or upload on or through the Services and you are responsible for protecting those rights, as appropriate. By submitting, posting or uploading Content on or through the Services, you grant Chronicles of Gor a worldwide, non-exclusive, royalty-free license to reproduce, adapt and publish such Content on the Site and through the Services solely for the purpose of displaying, distributing and promoting the Site or any other Services. You may request the removal or editing of Content that you have posted or uploaded yourself (other than posts to the Chat Room during scheduled discussions) and this license will terminate when such Content is deleted from any portion of the Site viewable by Members or the public, provided, however, that you acknowledge that Chronicles of Gor reserves the right (i) to retain in the Site's operational archive, accessible only to the Site administrators and moderators, any such Content submitted, posted or uploaded by you on or through the Services that is later deleted from the portion of the Site viewable by Members or the public, and to use that Content in connection with administering the Site and these Terms, and (ii) to replace any deleted message with a short summary of its Content sufficient to maintain the coherency of the topic or thread under which it had originally been made, and you grant Chronicles of Gor a worldwide, perpetual, non-revocable, non-exclusive, royalty-free license with respect to (i) and (ii). Notwithstanding the foregoing, if you should translate any of the Content on or for the Site (the "Translations"), you agree that by submitting, posting or uploading any such Translations to, on or through the Services, you are acknowledging and agreeing that such Translations are derivative works of the original Content to which Chronicles of Gor, its licensors and/or the party credited as the rights-holder of the Content, as the case may be, owns the copyright exclusively, including all moral rights, and any such submission, posting or uploading shall operate as a waiver by you of any right, title or interest in and to such Translations, [i]provided,[/i] that the foregoing shall not prevent you from seeking a non-exclusive license from the rights-holder of the Content to use or publish such Translations elsewhere, subject to the terms of any such license.

4.7 You represent, warrant and covenant (a) that no materials of any kind submitted through your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights, or falsify or delete any author attributions or falsely express or imply that such Content is sponsored or endorsed by Chronicles of Gor; or (ii) contain libelous or otherwise unlawful material; and (b) that you are at least eighteen years old. International Members agree to comply with their own local rules regarding online conduct and acceptable Content, including laws regulating the export of data to the United States or your country of residence. While Chronicles of Gor prohibits such conduct and Content in connection with the use of the Services, you understand and agree that you nonetheless may be exposed to such conduct and/or Content and that you use the Services at your own risk.

4.8 You hereby indemnify, defend and hold harmless Chronicles of Gor and John Norman, and all their respective agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your account of these Terms or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any such claim. Chronicles of Gor reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

4.9 Chronicles of Gor does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Services by any Member, user, information provider or any other person or entity. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk. THE SITE AND ALL CONTENT, INFORMATION (INCLUDING, WITHOUT LIMITATION, ANY INFORMATION OR CONTENT OBTAINED OR ACCESSED THROUGH THE SERVICES) AND OTHER SERVICES ARE DISTRIBUTED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU HEREBY ACKNOWLEDGE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK.

4.10 The Authors Forum may be used to publicise your own works, including linking to retailers, providing they do not breach any relevant laws, including copyright law. You may not, however, publicise anything that is a derivative of another work, including 'fan fiction'. Please follow all guidelines posted in the Authors Forum. Failure to do so may result in posts being amended or deleted, or, in the case of repeated or serious breaches, further action may be taken.


5. ELECTRONIC COMMUNICATIONS

When you visit Chronicles of Gor or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.


6. YOUR ACCOUNT

6.1 As part of the registration process, you will select a password and a Member ID. You also have to give us certain registration information, all of which must be accurate and updated. You may not (i) select or use a Member ID of another person with the intent to impersonate that person; (ii) use a Member ID in which another person has rights without such person's authorization; or (iii) use a Member ID that Chronicles of Gor, in its sole discretion, deems offensive. Failure to comply with the foregoing shall constitute a breach of these Terms, which may result in immediate termination of your account.

6.2 You shall be responsible for maintaining the confidentiality of your password, for all usage or activity on your account, including use of the account by any third party authorized by you to use your Member ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at Chronicles of Gor’s sole discretion, and Chronicles of Gor may refer you to appropriate law enforcement agencies. You shall notify webmaster@gorchronicles.com of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password.

6.3 If you are under 18, you may not become a Member of Chronicles of Gor and if you are over 18 you may not permit anyone under 18 to access the Site through your account.

6.4 Chronicles of Gor may terminate a Member's account or restrict a Member’s access to selected portions of the Site or to use certain of the Services in its sole and absolute discretion and for any reason.

6.5 Chronicles of Gor's termination or restriction of any Members' access to the Site may be effected without notice and, upon any such termination, Chronicles of Gor may immediately deactivate or delete the Member’s account and/or bar any further access to such files. Chronicles of Gor shall not be liable to any Member or other third party for any termination of that Member’s access or account hereunder.


7. LICENSE AND SITE ACCESS AND AVAILABILITY

7.1 Chronicles of Gor grants you a limited license to access and make personal use of this Site and not to download (other than page caching or as provided in Section 2.3) or modify it, or any portion of it, except with express written consent of Chronicles of Gor. This license does not include any resale or commercial use of this Site or its Contents (except for the offering for sale on the Book Market Forum of used print copies of John Norman's books that have been legally purchased or otherwise legally obtained by you); any derivative use of this Site or its Contents; reproducing, distributing, republishing or retransmitting material posted by other Chronicle of Gor Members or licensor without the prior permission of such Members or licensors; or any use of data mining, robots, or similar data gathering and extraction tools. This Site or any portion of this Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Chronicles of Gor.

7.2 You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Chronicles of Gor without express written permission.

7.3 You may not use any meta tags or any other "hidden text" utilizing Chronicles of Gor's name, URL or trademarks without the express written consent of Chronicles of Gor.

7.4 Any such unauthorized use terminates any permission or license previously granted by Chronicles of Gor.

7.5 You are granted a limited, revocable, and nonexclusive right to create a hyperlink to any page of Chronicles of Gor so long as the link does not portray Chronicles of Gor, or its Services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Chronicles of Gor logo or other proprietary graphic or trademark as part of the link without express written permission.

7.6 Chronicles of Gor contains links to other related internet sites, resources, and sponsors of the Site. Since Chronicles of Gor is not responsible for the availability of these outside resources, or their Contents, you should direct any concerns regarding any external link to the site administrator or webmaster of any such external site.

7.7 The Chronicles of Gor Privacy Notice is applicable only when you are browsing this Site. Once you use a link to an external website, you should read that website's privacy statement before disclosing any personal information.


8. COPYRIGHT

8.1 All Content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, unless otherwise specified, is the property of Chronicles of Gor or its licensors and is protected by United States and international copyright laws. The compilation of all Content on this Site is the exclusive property of Chronicles of Gor and protected by U.S. and international copyright laws.

8.2 You agree to report any copyright violations of these Terms as soon as you become aware of them.

8.3(a) Chronicles of Gor respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Chronicles of Gor’s copyright agent with the written information specified below. Please note that this procedure is exclusively for notifying Chronicles of Gor that your copyrighted material has been infringed.

(i) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

(ii) A description of the copyrighted work that you claim has been infringed upon;

(iii) A description of where the material that you claim is infringing is located on the Site;

(iv) Your address, telephone number, and email address;

(v) A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

(vi) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

9. TRADEMARKS

Chronicles of Gor and its graphics, logos, page headers, button icons, scripts, and service names are trademarks, registered trademarks or trade dress of Chronicles of Gor. Chronicles of Gor's trademarks and trade dress may not be used in connection with any product or service that is not Chronicles of Gor's, in any manner that is likely to cause confusion among Members, or in any manner that disparages or discredits Chronicles of Gor. All other trademarks not owned by Chronicles of Gor that appear on the Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Chronicles of Gor.


10 MISCELLANEOUS

10.1 If any dispute arises out of, or relates to, Chronicles of Gor, its writers, its contributors, or its affiliates, the parties agree first to try in good faith to settle the dispute by mediation under the Commercial Mediation Rules of the American Arbitration Association, before resorting to arbitration. Any such dispute that cannot be resolved by mediation within thirty days shall be finally resolved by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction. The arbitration will be conducted in the English language in the city of New York, New York, in accordance with the U.S. Arbitration Act. There shall be three arbitrators, named in accordance with such rules.

10.2 Please review our other policies, such as our Privacy Notice, posted on this Site, which also govern your use of the Site and the Services. If any of these Terms or any term contained in our other policies shall be deemed invalid, void, or for any reason unenforceable, you agree that such term or condition shall be deemed severable and shall not affect the validity and enforceability of any remaining conditions.

10.3 These Terms, the Services and the Site have been developed in English and may be translated into other languages. TO THE EXTENT ANY TRANSLATION OF THESE TERMS, THE SERVICES OR THE SITE INTO A LANGUAGE OTHER THAN ENGLISH IS PROVIDED, YOU HEREBY ACKNOWLEDGE THAT IT IS AFFORDED AS A CONVENIENCE ONLY. For all purposes, only the English version of these Terms, the Services, the Site or any other policies or guidelines referred to in these Terms and the English versions of the Site shall govern and be binding on the parties. Chronicles of Gor is not responsible for the accuracy and correctness of any translations it may provide. You are solely responsible to carefully read and understand the English text and you agree that you may not rely on any translations provided as official documentation of representations.
